Brand Partner Guidelines

We are truly grateful to have you represent Rockstar as a valued Brand Partner, sharing our passion for elevating lifestyles. Your influence plays a vital role in communicating our drive to uplift the Rockstar community to achieve their goals. To best represent Rockstar, Brand Partners must follow these guidelines to ensure every media interaction reflects our authentic brand identity.

Brand Partners must comply with the most recent Federal Trade Commission Guides Concerning the Use of Testimonials and Endorsements in Advertising, and all similar state, federal, regulations, and guidance.

#ROCKSTARBrandPartner must be included in all social media posts that show ROCKSTAR product or brand, even if it is not a paid for deliverable.

POSTING REQUIREMENTS: Each Rockstar sponsored Social Post, as defined in your Brand Partner Agreement with Rockstar, shall:

·       Include a ROCKSTAR product in-frame;

·       Integrate ROCKSTAR products organically and authentically;

·       Display all labels or brand logos of featured products visible and large enough to be readable;

·       Be wholly new, original, unique, and created by the Brand Partner;

·       Make ROCKSTAR cans appear cold and refreshing;

·       Comply with the below Audio Requirements;

·       Align with the below Code of Conduct;

·       Never promote overconsumption of ROCKSTAR;

·       Not market to those under eighteen years of age;

·       Not include any references or display of competitive similar products;

·       Not advertise, market, or otherwise promote any other product or service unless expressly allowed by Rockstar in writing;

·       Not contain personal information (ex. e-mails, phone numbers, etc.), except for names and images of Brand Partner or individuals from whom Brand Partner has obtained all required consents prior to posting, as required under applicable privacy laws;

·       Not contain third-party brands, hashtags, logos, slogans or other identifiable elements of products (e.g. branded apparel, equipment, snacks, etc.), or works of art or authorship (e.g. murals, tattoos, art prints, etc.) unless you have express permission from them to use their material as proposed;

·       Feature only the names and images of Brand Partner and other persons who signed a release before any such Social Post is posted;

·       Be set for public viewing and remain posted during the Term

·       Be sharp and well-lit, high-quality videos or photographs; and

·       Include specific ROCKSTAR products and flavors if directed by Rockstar.

Please email all ROCKSTAR Social Posts to your designated ROCKSTAR rep for approval prior to going live.

AUDIO REQUIREMENTS:

·       DO NOT include copyrighted audio in ROCKSTAR sponsored content. Copyrighted audio includes music and voiceovers from albums, movies, television shows, podcasts, etc.

·       You can include audio from:

·       TikTok Commercial Library: https://ads.tiktok.com/business/creativecenter/music/pc/en

·       Meta Music Library: https://business.facebook.com/sound?locale=en_US

·       Licensed Music: If you have a commercial license (ex. through Artlist or Epidemic Sound), send it to your ROCKSTAR rep when sending Social Posts for approval.

·       Your own voice recording like a comedic skit or day in the life vlog

AI tools cannot accurately determine if audio can be commercially used. Check the TikTok and Meta libraries on desktop vs mobile app for accuracy.

INVOICING: Please submit monthly invoices directly to you designated ROCKSTAR rep once the Social Post has gone live.

CODE OF CONDUCT: ROCKSTAR’s Brand Partner Community is made up of influencers who are genuine and uplifting. We cannot tolerate actions that go against our community values, which is why Brand Partners must follow the Code of Conduct below. Without compromising influencers’ independence and authenticity, we will work collaboratively with them while communicating our values.

As a ROCKSTAR Brand Partner, I agree to:

·       Work collaboratively with Rockstar to maintain trust and integrity in advertising;

·       Not share views or engage in behavior, which is interpreted by Rockstar as racism, homophobia, misogyny, religious intolerance, violence or extremism, bullying or aggressiveness towards others, pornography, or any criminal activity;

·       Immediately inform Rockstar of any content or behavior involving me, whether current or historical, which contravenes any of the included instances, or does not align with the brand’s values or which could be reputationally damaging;

·       Never artificially inflate my social metrics (ex. number of followers, post engagements, etc.);

·       Follow the approval process for Social Posts, including making any necessary edits, accepting that such posts are advertising by ROCKSTAR and must be approved;

·       Work with brands and talent agencies on the need to balance authenticity with avoiding third-party materials such as images, brands, logos, music, symbols, etc. which may cause legal issues;

·       Obtain permission or a license in writing from all third parties featured in Social Posts;

·       Not involve myself in a situation that subjects me or Rockstar to public scandal, disrepute, contempt, or ridicule, or which does or could be deemed by members of the general public to embarrass, offend, insult, or denigrate individuals or groups, or that will tend to shock, insult, or offend the community or public morals or decency; and

·       Not make any untrue or negative statements about Rockstar or its affiliates, products, and Brand Partner’s relationship with Rockstar, except as otherwise permitted or required by law.

·       Not make any statements that are misleading, unfair, false, deceptive, or unsubstantiated.

DISCLOSURE OF MATERIAL CONNECTIONS

Brand partners must clearly and prominently disclose all material connections with Rockstar in every sponsored post or communication. This can be met by simply including #ROCKSTARBrandPartner in accordance with these disclosure requirements:

·       Disclosures must be clear, upfront and easily understood by your audience.

·       Disclosures must be clear, prominent, and in close proximity to the representation being made.

·       Disclosures must not be included in a long caption, in a group of hashtags (i.e., where the material disclosure hashtag may not be noticed) or in a profile bio where they may not be seen.

·       Disclosures should be visible on all devices without having to click or tap a button to expand the content.

·       Where content is shared on multiple social media or other platforms, disclosures must be included on each platform.

·       Disclosures must use plain, clear and contextually appropriate words and images (ambiguous terms and abbreviations must be avoided).

·       The audience and format of content must be considered:

·       In certain cases, content may require both audio and visual disclosures.

·       If an endorsement is in a picture (i.e. on a platform like Snapchat or Instagram Stories), the disclosure must be superimposed over the picture and viewers must have enough time to notice and read it.

·       If making an endorsement in a video or podcast, the disclosure must be in the video or podcast itself and not only in the text description that accompanies the video/podcast.

·       If making an endorsement in a live stream, the disclosure must be repeated periodically.

·       Disclosures must be inseparable from the content, so they travel together when shared. So a sponsored post to X/Twitter would have to include the disclosure as part of that post, and not in a reply to the post.

·       Where the Brand Partner receives payment other than financial compensation, such as free product or an exclusive invite, and the Brand Partner talks about the product or the event, they must disclose the nature of the material connection in order to be transparent, such as #GiftedProduct.

·       Many social media platforms offer a tool to disclose an advertising relationship. In the event Brand Partner uses these tools, they must only be used in addition to the Brand Partner’s own disclosure within their content.

The following list give examples of disclosures which are not sufficient and cannot be relied upon by the Brand Partner:

·       linking to or tagging Rockstar;

·       posting a discount code;

·       linking to an affiliate webpage; or

·       using only ambiguous references or abbreviations (such as “Thank you Rockstar!”, “Ambassador”, “Partner”, “Rockstar”, “SP”, “Spon”, “collab”, “thanks”, etc.)

ADDENDUM: ADDITIONAL CANADIAN REQUIREMENTS

In addition to the above Guidelines, as a Brand Partner who: 1) is a primary resident of Canada; 2) performs Services under the Agreement in Canada; and or 3) has a majority Canadian social media following, you will also need to read and follow these additional requirements.

The following requirements apply to each Rockstar sponsored Social Post, as defined in your Brand Partner Agreement with Rockstar.

Applicable Law. Brand Partners must comply with the most recent Competition Bureau Canada Influencer and Marketing Disclosure Guidelines and the Competition Act, and all similar federal and provincial rules, regulations and guidance.

Language. If for Rockstar Canada, captions and disclosures shall be in both English and French.

Health Claims. Brand partners shall:

  • Not claim or suggest that consuming Rockstar can boost physical performance, including claims about bosting endurance, recovery, power, strength, or overall sports performance.
  • Not claim or suggest that Rockstar Energy Drink is good for hydration or replacing electrolytes.
  • Not claim or suggest that Rockstar provides essential nutrients or is good for health and growth;
  • Not claim or suggest that Rockstar is meant for daily long-term use.
  • Use a Canadian Rockstar product, which is made available for sale throughout Canada.
